Deepak Nitrite Invests ₹48 Crore in Deepak Chem Tech via Preference Shares

Deepak Nitrite Limited has announced an investment of ₹48 crore in its wholly-owned subsidiary, Deepak Chem Tech Limited (DCTL), through the issuance of Optionally Convertible Redeemable Preference Shares (OCRPS). This move aims to strengthen DCTL's capital base and support its project expenses and general corporate purposes.

On September 19, 2025, DCTL issued and allotted 4,800,000 9% OCRPS with a face value of ₹100 each to Deepak Phenolics Limited (DPL), another wholly-owned subsidiary of Deepak Nitrite. The transaction is conducted at arm's length.

DCTL, incorporated on October 9, 2020, operates a state-of-the-art fluorination plant in Gujarat and is actively pursuing various projects. As of fiscal year 2024-25, DCTL's turnover was ₹9.43 crore.

The infusion of funds into DCTL by DPL is intended to strengthen the capital base of DCTL and support its project expenses and general corporate purposes. The business carried on by DCTL is not outside the main line of business of the listed entity.

Prior to this allotment, Deepak Nitrite Limited held 100% of the Equity Share Capital, and along with DPL, indirectly held 100% of the Preference Share Capital of DCTL. After the allotment, Deepak Nitrite Limited continues to hold 100% of Equity Share Capital of DCTL, and along with DPL, holds indirectly 100% of Preference Share Capital of DCTL.

No governmental or regulatory approvals were required for this investment.

DCTL's turnover for the last three fiscal years is as follows:

  • FY 2023-24: ₹0.86 Crores

DCTL is operating in India.

 The transaction is on "arms length" basis.
