UnitedHealth Group (UNH) US DOJ Investigation Case

On January 6, 2021, UnitedHealth announced an agreement to acquire Change Healthcare.

On February 24, 2022, the U.S. Department of Justice (DOJ) filed a lawsuit challenging UnitedHealth’s acquisition of Change for violation of antitrust laws.

The court permitted the acquisition, crediting UnitedHealth’s commitment to preventing violations of antitrust legislation.

Then on February 27, 2024, the Wall Street Journal reported that the DOJ had re-opened its antitrust investigation into UnitedHealth.

On this disclosure, UNH fell 2.27%, losing $10.9B+ in shareholder value.

Based on these events, UNH stockholder filed a claim against UnitedHealth and its leaders, accusing them of the following:

  • UnitedHealth repeatedly assured investors that it had taken steps to avoid anti-competitive behavior
  • UnitedHealth's assurances articially inflated the price of UnitedHealth’s common stock that plummeted after the publication of the article in the Wall Street Journal.

Considering all the representations, investors have reasons to suspect that UnitedHealth was hiding the fact that it failed to implement proper corporate antitrust policies.
